Non-Competition.  From the date hereof until [________], Each Founder shall not, directly or indirectly, engage or be financially interested in any business with any Person who engages in a Competitive Business, whether such engagement is as an officer, director, proprietor, employee (including self-employment), partner, investor (other than as owning for investment up to  [________]% of any class of equity security of any entity whose securities are traded on a national securities exchange or market), consultant, advisor, agent, sales representative or other participant, in or covering any geographic area in which the Business is being conducted, or as of the date any termination of the Employment Agreement applicable to such Either Founder becomes effective is planned to be conducted. For the avoidance of doubt, this Section 5.03 shall not restrict Either Founder from serving as a director, officer or employee of, or consultant to, any Person who is engaged in a Competitive Business; provided, however,that such Either Founder is not, directly or indirectly, engaged in, and does not provide services to, any such Competitive Business in any such manner. For the purpose of the preceding sentence, “indirectly” includes, but is not limited to, managing or supervising any employee, consultant or independent contractor of any Person where such employee, consultant or independent contractor is engaged in a Competitive Business, including where such employee, consultant or independent contractor is responsible for managing any supplier, vendor or licensee with respect to a Competitive Business.

independent contractor 独立合同方

independent contractor 獨立承攬人；獨立合同當事人；獨立承包人

Black’s Law Dictionary (Eighth Edition):

One who is entrusted to undertake a specific project but who is left free to do the assigned work and to choose the method for accomplishing it. It does not matter whether the work is done for pay or gratuitously. Unlike an employee, an independent contractor who commits a wrong while carrying out the work does not create liability for the one who did the hiring. Also termed contract labor.
