Management Personnel may not hold posts concurrently in other economic organisations or companies. They shall further not have any employment or consultancy relationship with any third Party, especially companies which are in commercial competition with the Company.

【要點解析】

英文名詞可以分為普通名詞和專有名詞。專有名詞是特定個人、地方、機構等專有的名稱。普通名詞是一類人或事物或抽象概念的名稱。將普通名詞的首字母大寫，再加上定冠詞，就變成了專有名詞。如將company轉化成the Company，就是指特定的公司。中文的普通名詞變成專有名詞則需要加上 “這個”或“那個”之類的指示代詞。

另外，英文可數名詞大多有單數和複數兩種形式。單數和複數形式一般不僅拼寫不同，讀音也有區別。中文的單數名詞要表現複數形式，往往是在單數名詞前面加數詞和量詞，或者在這個名詞後面加“們”等表現複數意思的后缀。中文名詞本身的讀音沒有變化。

上面的例句中出現了兩處“companies”和一處“the Company” 

the Company是專有名詞，特指某公司。如果把它譯成“公司”，不做特定化處理，我們看會有什麼情況。

两处companies译成“公司們”显然不符合中文習慣。根據文義，“other economic organisations or companies”應當譯成“其他經濟組織或公司”。中文“公司”體現不出來第一處companies是複數名詞。從中文詞形上也看不出與the Company特指的公司有什麼區別。

需要對the Company的中文譯名做特定化處理。大家知道，在英文合同的篇首，介紹過當事人之後，通常緊接著hereinafter referred to as “the Company”這樣的表述。如果原文提供了當事方的名稱，可以像稱呼“蘋果公司”這樣處理the Company的中文譯名或者稱作“本公司”。如果原文沒有提供當事人的名稱，我們不妨在the Company的中文譯名前面加上字母XX，寫作“XX公司”，也就是中文所說的某某公司。

於是，“especially companies which are in commercial competition with the Company”可以譯成“尤其是那些與本公司存在商業競爭的公司”。 專有詞彙the Company與普通名詞複數形式companies的特定化意思就體現出來了。

我們回頭看上面的例句，譯文也有需要改進的地方。“especially companies which are in commercial competition with the Company”是“any third Party”的同位語。譯文對這個同位語安排的位置不太妥當，二者的同位語關係體現不明顯。下面的三個參考譯文分別使用了不同的處理方法突出同位語關係。

【參考譯文一】

管理人員不得同時在其他經濟組織或公司任職。管理人員也不得與任何第三方——尤其是與XX公司存在商業競爭的公司——有雇傭或顧問關係。

【參考譯文二】

我們再看一個例句。

（一）文法結構分析

(a)項和(b)項句式相同，我們以(a)項為例，分析文法結構。(a)項包括兩句話。

第一句话的主語是“Act”。Means是謂語。 

Part II of the Canada Corporations Act, R.S.C. 1985, c.C-44 (and such other provisions of such Act as are applicable to corporations without share capital) as from time to time amended 和 every statute that may be substituted therefor 是賓語。

在第二句话中，in the case of such substitution是狀語。

根据文义，例句选自公司的章程细则。译文将专有名词the Corporation特定化处理，译作“本公司”。

假如將專有名詞Act譯成“法律”，從中文字面上看不出它與別的法律有何不同，所以將它譯成“《公司法》”以示區別。後面的“Regulations”基於同樣的思路譯成“《公司法條例》”。 

（三）every statute that may be substituted therefor 可以取代該法的每一部制定法

therefor和therefore都是副詞，也是同音詞（homophone），拼寫僅差一個字母，意思卻有很大差別。

therefor大意是“為此”。

動詞substitute的固定搭配有不同的意思：substitute A with B 是指用B取代A；而substitute A for B則是用A取代B。

所以，原文“every statute that may be substituted therefor”意思是可以取代《公司法》的每一部制定法。“every regulation that may be substituted therefor”意思是可以取代《公司法條例》的每一部條例。 

in the case of such substitution的意思是“如果用新制定法取代《公司法》”和“如果用新條例取代《公司法條例》”。

（四）read something as something 將……理解（或解釋）為……，按……理解（或解釋）…… 

read在這裡意思是to understand a situation, remark etc in one of several possible ways
