行遠自邇，登高自卑。為學者當自勉。初學法律英文，睹其句式結構之至複雜者，幾如天書。惟勤加研習，方可達於精熟。雖有Bryan A. Garner輩宣導平易英文，然觀諸歐美執業人士實踐，則行文繁複之積習不能稍減。竊以為非如此複雜之文法結構，不能承載謹嚴縝密之歐西法律人思維。蓋有以致之也。

學習法律英語，如何登堂入室？先賢有言：學不可以已。此非自古以來所寶之秘笈、仙丹（cure-all, elixir, panacea），雖淡乎其無味，然用之不足既。

After three (3) years of the Closing, all Common Shareholders shall have the right to exercise a put option pursuant to which all of the securities held by such shareholders may be sold to the Investors at the end of the third (3rd) month of the second subsequent fiscal year of such option exercise year at an exercise price equaling to [20% or 30%], depending on the final shareholding structure after the second closing, which shall be determined by [___________], of the higher of (i) ten (10) times of the average earning (after tax) of the Local Co.
