“Otherwise”作副词，多用来表示“如果没有发生某事，就会发生另一件事或者其他不好的事情”，常翻译为“否则，要不然”。这个词的常见搭配有 “otherwise known as”（又称，也叫），“otherwise engaged”（忙于别的事情）等等。

         如例句：

         We were delayed at the airport, otherwise we would have been here by lunch time.

         我们在机场耽搁了，否则午饭前就可以到这里了。

       在法律文本中（尤其是在英文合同中），“otherwise”常见于“unless”引导的状语从句中，如“unless otherwise specified herein”,“unless the context otherwise requires”等等，通常译为“除……另有规定/要求之外”，有时也以被动形式出现，如 “unless in any enactment it is otherwise provided, …”（除成文法另有规定外）。

      This Memorandum of Understanding (MoU) is not legally binding upon the Parties unless otherwise specified.

      本谅解备忘录（MoU）对双方没有法律约束力，除非另有相反约定。

     其次，“otherwise”在法律文本中与“than”连用（otherwise than），通常用在否定句中，可译为“除非”或者“除了……之外”（相当于“unless”或“by other means than…”）。如例句：

Neither the Agreement nor any part hereof shall be revoked otherwise than by another agreement executed in accordance with section 5.

本协议或其任何部分均不得撤销，除非根据第五条签订另一份协议予以撤销。

      此外，“otherwise”也可以与连词“and”或“or”连用。具体来说，“otherwise”与“and”（and otherwise）连用表示“等等，及其他”，如：It indicates a trend to freedom, political and otherwise.这表明在政治及其他方面向自由发展的缓慢趋势。而“otherwise”与“or”连用则表示“通过别的方法或途径”以及“或相反，或其反面”两个意思。
